3. Contract Formation

- A written offer is accepted by the client, or
- A project is confirmed in writing (including email), or
- Work has commenced upon client request
All agreements must be documented in written or electronic form.
4. Client Responsibilities
The client agrees to:
- Provide accurate and complete information required for the project
- Deliver necessary content (text, images, logos, etc.) in a timely manner
- Ensure that provided materials do not infringe third-party rights
- Review and approve project milestones within reasonable time
Delays caused by the client may result in adjusted deadlines and additional costs.
5. Payment Terms
Payment terms are defined in individual agreements or invoices.
Unless otherwise agreed:
- Invoices are payable within 14 days of issue
- Late payments may incur statutory interest
- Klix-webdesign.com reserves the right to suspend services in case of overdue payments
All prices are stated in Euro unless otherwise specified.
6. Intellectual Property
Upon full payment, the client receives the agreed usage rights for the delivered work.
Unless otherwise agreed:
- Klix-webdesign.com retains the right to display completed projects for portfolio and marketing purposes
- Third-party software, plugins, themes, or tools remain subject to their respective licenses
Source code ownership is transferred only if explicitly agreed in writing.
7. Hosting and Maintenance
If hosting or maintenance services are provided:
- Service availability depends on third-party infrastructure providers
- No guarantee of uninterrupted availability can be made
- Regular backups are recommended but ultimate responsibility for content remains with the client
8. Limitation of Liability
Klix-webdesign.com shall be liable only for damages caused by intentional misconduct or gross negligence.
To the extent permitted by law:
- Liability for indirect damages, lost profits, or consequential damages is excluded
- Liability is limited to the total amount paid by the client for the specific service
This limitation does not apply in cases of mandatory statutory liability.
9. Confidentiality
Both parties agree to treat confidential information received during the course of the project as strictly confidential.
10. Termination
Either party may terminate ongoing service agreements in accordance with the terms defined in the specific contract.
Termination does not affect payment obligations for services already rendered.
11. Governing Law and Jurisdiction
These Terms are governed by Austrian law.
The competent court in Salzburg, Austria shall have jurisdiction, unless mandatory legal provisions state otherwise.
12. Changes to These Terms
Klix-webdesign.com reserves the right to modify these Terms at any time.
The latest version will always be available on the website.
